Confidentiality Statement for KowaBunga! Technologies, OptInPro.com and the Opt-In Pro Email Marketing Software

Confidentiality

a) KowaBunga! Technologies agrees to hold all information that is communicated to us by our customers in strict confidence; to not use the Confidential information for our own benefit or the benefit of others, except for the Business Purpose or as may be otherwise authorized in writing by our customers; and not to disclose, distribute or disseminate the confidential information or documents or information derived therefrom in any way to any third party, except its respective employees, agents, consultants and independent contractors having a specific need to know in performance of their work for the recipient party and who have been informed of the recipient party's obligations under this Agreement and have agreed to be bound thereby. KowaBunga! Technologies shall take steps no less rigorous than those we take to protect our own proprietary information, but in any event no less than reasonable means, to prevent the disclosure and to protect the confidentiality of the Confidential Information.

b) Without limitation of the foregoing, "Confidential Information" shall mane and include all nonpublic, confidential, or proprietary information, including, but not limited to, the email addresses managed by the Opt-In Pro Software, cost and expense information; trade secrets; confidential processes and technology and other information of that the customer has not made generally available to persons outside of KowaBunga! Technologies.

c) Notwithstanding the above, Confidential Information shall not include information which is already known by KowaBunga! Technologies without an obligation of confidentiality; publicly known or becomes publicly known through no unauthorized act of the recipient party; disclosed to KowaBunga! Technologies by a third party not in violation of any obligations of confidentiality to the disclosing part; or is required to be disclosed pursuant to a requirement of a governmental agency.

Return of Confidential Information: Upon termination of the Opt-In Pro Service, KowaBunga! Technologies will destroy all Confidential Information including all email addresses, email messages and settings held in our customer's account. It will be the customer's responsibility to make copies of the Confidential Information before asking KowaBunga! Technologies to terminate the service.

Term: With respect to any particular Confidential Information, KowaBunga! Technologies' obligations under this Agreement shall expire immediately upon termination of the customer's account.
